Welcome to 305 IT Services. These Terms and Conditions govern your use of our website and, where applicable, the technology services provided by 305 IT Services (“305 IT Services,” “we,” “us,” or “our”).

By accessing our website, submitting a request for service, approving a proposal, or engaging 305 IT Services for technology services, you agree to these Terms and Conditions. If you do not agree with these terms, please do not use our website or services.

1. Our Services

305 IT Services provides information technology services that may include, but are not limited to, IT infrastructure and networking, managed IT services, computer and workstation support, server configuration and support, network installation and troubleshooting, cloud solutions, cybersecurity services, data backup and recovery solutions, software support, hardware installation and configuration, remote and onsite technical support, and IT consulting.

The specific services provided to a client will be determined by the applicable proposal, service agreement, statement of work, invoice, or other written agreement between 305 IT Services and the client.

2. Service Agreements

Certain services may require a separate proposal, managed services agreement, statement of work, or other contract.

If the terms of a separately executed agreement conflict with these website Terms and Conditions, the terms of the separately executed agreement will control with respect to the applicable services.

Service availability, response times, support hours, project timelines, pricing, and deliverables may vary depending on the services purchased.

3. Client Responsibilities

Clients are responsible for providing 305 IT Services with reasonable access to the systems, equipment, accounts, facilities, credentials, personnel, and information necessary to perform the requested services.

Clients are also responsible for providing accurate information about their technology environment, maintaining appropriate software licenses, obtaining necessary permissions for us to access or modify systems, informing us of known technical or security issues, and following reasonable security and technology recommendations.

Delays caused by incomplete information, inaccessible systems, third-party providers, or circumstances outside our control may affect project schedules and service delivery.

4. System Access and Authorization

By requesting services, the client represents that they have the authority to authorize 305 IT Services to access, configure, repair, monitor, maintain, or otherwise work on the applicable devices, networks, accounts, software, or systems.

The client authorizes 305 IT Services to make changes reasonably necessary to perform the agreed-upon services.

We will take reasonable precautions when working with client systems. However, technology maintenance, repair, migration, software installation, security configuration, and system updates can involve inherent risks.

5. Data Backups

Unless data backup or disaster recovery services are specifically included in an agreement with 305 IT Services, clients are responsible for maintaining current and reliable backups of their data.

Clients should maintain backups before authorizing significant system changes, repairs, migrations, software installations, hardware replacements, or other technical work.

305 IT Services is not responsible for data loss resulting from hardware failure, software failure, malware, cyberattacks, third-party platforms, user error, pre-existing system problems, or other circumstances outside our reasonable control.

Where backup services are provided by 305 IT Services, the scope, retention period, recovery procedures, storage capacity, and other applicable conditions will be defined in the applicable service agreement.

6. Cybersecurity

305 IT Services may provide cybersecurity tools, recommendations, monitoring, configuration, or related services designed to reduce technology risks.

However, no cybersecurity system, security software, firewall, monitoring platform, backup solution, authentication method, or technology provider can guarantee complete protection against every possible threat.

305 IT Services does not guarantee that a client’s network, devices, systems, data, or accounts will never experience a breach, malware infection, unauthorized access, data loss, ransomware attack, phishing incident, or other security event.

Clients remain responsible for implementing appropriate internal policies, employee training, access controls, insurance coverage, and other safeguards appropriate to their organization.

7. Third-Party Products and Services

Our services may involve third-party hardware, software, cloud platforms, telecommunications providers, internet service providers, cybersecurity products, licensing platforms, or other vendors.

Third-party products and services are subject to their own terms, conditions, licenses, warranties, privacy policies, service availability, and pricing.

305 IT Services does not control third-party platforms and is not responsible for outages, pricing changes, discontinued products, security incidents, software defects, compatibility issues, licensing changes, or other actions taken by third-party providers.

8. Hardware and Software

Hardware, software, licenses, subscriptions, and other technology products purchased through or recommended by 305 IT Services may be subject to manufacturer or vendor warranties.

Unless otherwise stated in writing, 305 IT Services does not provide independent warranties for third-party products.

Clients are responsible for maintaining valid software licenses and complying with applicable licensing requirements.

9. Remote Support

Certain services may be provided using remote support or remote management software.

By requesting or subscribing to remote support services, the client authorizes 305 IT Services to remotely access applicable systems when reasonably necessary to provide the agreed-upon support.

Where appropriate, remote management tools may operate in the background to support monitoring, maintenance, updates, security, or troubleshooting.

10. Fees and Payment

Pricing for professional services, projects, hardware, software, subscriptions, and ongoing support will be described in the applicable proposal, invoice, service agreement, or statement of work.

Clients agree to pay all amounts when due according to the payment terms provided.

Recurring services may continue to be billed until canceled in accordance with the applicable service agreement.

305 IT Services may suspend or discontinue services for accounts with overdue balances, subject to any applicable contractual requirements.

11. Project Changes and Additional Work

Requests outside the agreed-upon scope of work may require additional fees or a revised proposal.

This may include additional equipment, additional locations, expanded network infrastructure, new software integrations, emergency support, work performed outside normal service hours, or technical issues that were not reasonably identifiable when the original scope was created.

305 IT Services will make reasonable efforts to communicate material changes to project scope or pricing before performing significant additional work.

12. Scheduling and Availability

Service appointments, installation dates, project completion dates, and response times are estimates unless specifically guaranteed in a written service-level agreement.

Schedules may be affected by hardware availability, software vendors, internet or telecommunications providers, client availability, building access, third-party contractors, shipping delays, system conditions discovered during service, emergencies, or circumstances beyond our reasonable control.

13. Emergency and After-Hours Support

Emergency, weekend, holiday, or after-hours support may be subject to availability and additional fees unless specifically included in the client’s service plan.

Submitting a voicemail, email, support ticket, contact form, or other request does not guarantee an immediate response.

14. Confidentiality

During the course of providing IT services, 305 IT Services may have access to confidential business information, systems, credentials, data, or other sensitive information.

We will use reasonable measures to protect confidential information and will use such information only as reasonably necessary to provide services, administer our business relationship, comply with applicable obligations, or as otherwise authorized by the client.

15. Website Use

The information provided on the 305 IT Services website is intended for general informational purposes.

You agree not to use this website for unlawful purposes, attempt unauthorized access to our systems or accounts, distribute malicious software or harmful code, interfere with website functionality or security, reproduce or misuse website content without authorization, or impersonate another person or organization.

16. Intellectual Property

Unless otherwise stated, the content of this website, including text, graphics, branding, logos, layouts, design elements, and original materials, is owned by or licensed to 305 IT Services.

Website content may not be reproduced, distributed, modified, republished, or commercially used without prior written permission.

Third-party names, trademarks, software names, and logos remain the property of their respective owners.

17. No Guarantee of Uninterrupted Technology

Technology systems may occasionally experience downtime, hardware failures, internet outages, software errors, vendor outages, cybersecurity incidents, or other disruptions.

Unless specifically stated in a written service-level agreement, 305 IT Services does not guarantee continuous or uninterrupted operation of any network, device, application, cloud service, internet connection, server, website, or other technology system.

18. Limitation of Liability

To the fullest extent permitted by applicable law, 305 IT Services will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from the use of our website or services.

This includes, without limitation, losses related to lost data, lost revenue or profits, business interruption, cybersecurity incidents, loss of productivity, hardware or software failure, third-party service outages, unauthorized access, or loss of business opportunities.

Any liability relating to professional services may also be subject to additional limitations contained in the applicable client service agreement.

Nothing in these Terms is intended to exclude liability that cannot legally be excluded under applicable law.

19. No Professional Guarantee

305 IT Services will perform services using commercially reasonable care based on the information and systems available at the time services are performed.

However, technology environments vary significantly, and we cannot guarantee that every technical issue will be resolved permanently or that every recommendation will prevent future problems.

20. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless 305 IT Services and its owners, employees, contractors, and representatives from claims, liabilities, damages, costs, or expenses arising from your unlawful use of our website or services, your violation of these Terms, or your unauthorized use of third-party systems or technology.

21. Privacy

Information submitted through our website or provided during the course of our services may be handled in accordance with our Privacy Policy.

Clients should review our Privacy Policy for additional information regarding how personal information may be collected, used, and protected.

22. Termination of Services

Either party may terminate services in accordance with the applicable service agreement, proposal, subscription terms, or written arrangement.

305 IT Services may suspend or terminate services when reasonably necessary due to nonpayment, abusive conduct, illegal activity, security concerns, material violations of an agreement, or circumstances that make continued service impractical or unsafe.

Termination does not eliminate payment obligations for services, products, subscriptions, licenses, or other charges incurred before the effective termination date.

23. Changes to These Terms

305 IT Services may update these Terms and Conditions periodically to reflect changes to our services, business practices, technology, or legal requirements.

The updated version will be posted on this page with a revised effective date.

24. Governing Law

These Terms and Conditions will be governed by the laws of the State of Florida, without regard to conflict-of-law principles.

Any disputes relating to these Terms or use of this website will be subject to the jurisdiction of the appropriate courts located in Florida, unless otherwise required by law or agreed to in a separate written contract.

25. Severability
